GayInsider.com’s Advertising Terms and Conditions

Gayinsider.com strives to provide superior service to all of it’s customers. This letter outlines the terms and conditions under which we provide service and which we agree to be bound (the “Agreement”).

We submit advertising proposals to you with the intent of fulfilling both the letter and spirit of proposals. However, we can “accept” your advertising campaign and reserve the advertising inventory required to deliver the campaign only after you’ve sent us the signed insertion order 9”Insertion Order”) to which there Advertising Terms and Conditions are attached. Allocation of advertising inventory is strictly on a first-come, first served basis.

We accept advertising based on your representation that you have the right to publish and display the content. You agree to indemnity and hold Gayinsider.com harmless from, and against, any reasonable expense, liability, claim or loss that may at be incurred by reason of any third party claims, suits or proceedings alleging: (a) misappropriation of any party’s name, libel, defamation, violation of right of privacy or publicity, (b) copyright infringement, trademark infringement or other infringement of any third party intellectual property right, (c) violation of any international, federal, state or local law, statute, ordinance, rule or regulation in connection with the Advertisements or their placement in accordance with his Agreement.

We will run you advertising in the position and time periods stated on the accepted and attached Insertion Order. We always use our best efforts to deliver impressions equally over the length of your advertising campaign or as defined in the Insertion Order.

In order to ensure that your advertising campaign begins on time, banner artwork and newsletter copy must be received at least 48 business hours prior to the beginning of an advertising flight as specified in the Insertion Order. If you don’t send banner artwork or newsletter copy that conforms to our current standards (which we will continually provide to you on an updated basis) at least 48 business hours before the scheduled beginning of a campaign, you may forfeit your allocation or we may not be able to deliver the requested number of impressions.

We’ll substitute banner artwork or newsletter copy during the course of campaigns without charge. Please give us 48 hours to make these changes.

The impression and click-through counts generated by our ad servers are the measures by which we determine if we have fulfilled our commitment to you. However, we know that many clients use third-party as servers, and we commit to using our best efforts to explain and correct any discrepancys between the two methods.

Send us cancellation and/or modification notices in writing. In case of cancellations, we will bill you for 30 days of service from the cancellation date or until the remainder of your advertising campaign, which ever occurs first.

All banner artwork and newsletter copy are subject to our approval. We will reject any artwork/copy that we believe to be inappropriate for the Gayinsider.com audience or that does not satisfy our technical or art requirements, which we will continually provide to you on an updated basis.

We occasionally make mistakes. If we do, we will attempt to correct our mistake or return any money received within 10 days, at our discrestion. Except for obligations to indemnify as specified above, neither you nor we will be liable for any costs or damages, consequential or otherwise, as a result of any mistakes, omissions, error or for any other reasons. Both you and our entire liability under this Agreement and for the placement of the requested advertisements will be limited to the fees paid by you under this Agreement.

We expect to be paid for our services. We reserve the right to collect from either clients or their advertising agencies suck monies as are due and payable, including all costs of collection and reasonable attorneys’ fees.

We do business with our clients under these Terms and Conditionsorder. Neither you nor we are bound by condition printed or appearing the applicable Insertion Order which conflict with these Terms and Condition without wither your or our express written consent.

There are some things beyond our control. We will not be liable for delays in publishing, delivery, non-delivery, or order errors as a result of events beyond our control including Acts-of-God, actions by any government entity, fire, flood, riot, explosion, embargo, strikes, labor or material shortage, transprtation interruption, or Internet or communications failures that are not associated with our systems.

Your payment is due within 30 days of your receipt of our invoice for services which we have provided to you. We will impose a 1.5% late fee for every 30 days, thereafter, your payment is past due.

All advertising rates are subject to change upon noticed from Gayinsider.com. Such rates will not affect insertion orders which are currently in effect.
